TERMS OF SERVICE — ROAD GUARDIAN

These Terms of Service ("Terms") govern your use of the Road Guardian platform operated by Orpyxis Technologies ("Orpyxis", "we", "us", or "our"), including the customer mobile application, the driver ("Truck") mobile application, related websites, and APIs (together, the "Platform").

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. WHO THE PLATFORM IS FOR

1.1 Customer app ("client")
The customer app allows individuals or businesses to request towing and roadside assistance, manage vehicles, obtain price quotes, track service requests, and pay for services.

1.2 Driver app ("truck")
The driver app allows approved drivers/operators to receive matching job offers, accept and complete jobs, share location while operating, manage trucks and equipment type, view earnings, and settle platform fees.

1.3 One legal product
Both apps form part of the same Road Guardian service. Separate store listings may exist, but these Terms apply to both unless a section says otherwise.

2. ELIGIBILITY

You must:
- Be at least 18 years old
- Provide accurate registration information
- Have legal capacity to enter a binding contract
- For drivers: hold any licences, insurance, and vehicle authorisations required under Maltese (or other applicable local) law to perform the services you offer

We may refuse, suspend, or terminate accounts that do not meet these requirements.

3. ACCOUNTS AND SECURITY

- You are responsible for keeping login credentials confidential
- Only one active session may be valid at a time; a new login can end previous sessions
- Notify us promptly of unauthorised use at [email protected]
- You must not share accounts or impersonate others

4. HOW THE SERVICE WORKS

4.1 Matching
Customers create service requests with pickup location, destination (where relevant), service type, and required truck equipment type (for example Road Assistance Van, Low Loader, Ramps, Wheel Lift). Drivers with a matching active truck may see and accept those jobs.

4.2 Pricing
Quoted prices may include base fees, distance-based charges, day/night surcharges, and tax as shown in the app before booking. Final amounts follow the price calculated or confirmed for that request.

4.3 Completion codes
When a job is created, a completion code may be issued for the customer to share with the driver to close the job. Misuse of codes is prohibited.

4.4 Payments
Payments for customer services and certain driver fee settlements may be processed via third-party payment providers (including Stripe). Card details are handled by those providers; we do not store full card numbers on our servers.

4.5 Driver fees and debt
Drivers may owe platform fees and taxes as described in the app. Outstanding balances may limit the ability to accept new jobs until reduced. Fee structures shown in-app apply.

5. CUSTOMER OBLIGATIONS

Customers agree to:
- Provide accurate vehicle and location information
- Be reachable for coordination
- Pay for completed services according to the agreed quote and payment method
- Treat drivers respectfully and not request illegal services
- Not abuse the Platform (fake jobs, chargebacks without basis, harassment)

6. DRIVER OBLIGATIONS

Drivers agree to:
- Only accept jobs their active truck and equipment type can perform
- Keep vehicle information, equipment type, and truck photo reasonably accurate and up to date
- Maintain safe, roadworthy equipment and required insurance
- Comply with traffic and safety laws
- Not spam, game, or manipulate the job board or location data
- Settle platform fees when due
- Not use the Platform for unlicensed commercial activity

7. LOCATION, PHOTOS, AND COMMUNICATIONS

- Drivers may share GPS location for job matching, navigation, and live status
- Truck photos may be shown to customers after a job is accepted so they know what vehicle to expect
- Push notifications (including via Expo) may be sent for new matching jobs and service updates when tokens are registered
- Customers may see limited driver/truck details needed for the active job

8. ACCEPTABLE USE

You must not:
- Reverse engineer, scrape, or attack the Platform
- Upload malware or unlawful content
- Use the Platform to discriminate, harass, or endanger others
- Circumvent security, licensing, rate limits, or payment systems

9. INTELLECTUAL PROPERTY

The Platform, branding, software, and content (excluding your own content) are owned by Orpyxis or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the apps for their intended purpose.

10. THIRD-PARTY SERVICES

The Platform may integrate maps/routing, payments (e.g. Stripe), push notification services, email delivery, and hosting providers. Their terms and privacy notices also apply where relevant.

11. DISCLAIMERS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted availability, perfect ETAs, or that a driver will always be available.

Road Guardian is a technology marketplace/coordination platform. Orpyxis is not the towing company performing physical roadside work unless expressly stated for a given job. The contractual relationship for the physical service is primarily between customer and driver/operator, subject to these Platform rules.

12. LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY MALTESE AND APPLICABLE EU LAW:
- We are not liable for indirect, incidental, special, or consequential damages
- Our aggregate liability arising from your use of the Platform is limited to the greater of (a) fees you paid to us in the 12 months before the claim, or (b) EUR 100
Nothing in these Terms excludes liability that cannot be excluded by law (including for death or personal injury caused by negligence, or fraud).

13. INDEMNITY

You agree to indemnify Orpyxis against claims arising from your misuse of the Platform, breach of these Terms, or unlawful provision of services (drivers) or false information (customers), to the extent permitted by law.

14. SUSPENSION AND TERMINATION

We may suspend or terminate access for breach, safety risk, fraud, non-payment of fees, or legal requirement. You may stop using the apps and request account deletion as described in the Privacy Policy and in-app tools.

15. CHANGES

We may update these Terms. Material changes will be indicated by updating the "Last Updated" date and, where appropriate, notice in the app or by email. Continued use after the effective date constitutes acceptance.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Malta. Courts of Malta have jurisdiction, without prejudice to mandatory consumer protections that apply in your country of residence if you are a consumer.
